When your business installs the the Owe Less Tax system, the system needs to hold up to an scrutiny. Part of the system is that your company be domiciled in the State of Nevada and be registered with the Nevada Secretary of State’s Office, the law requires your business to name a qualified registered agent or your registration will not be accepted.
The Registered Agent assumes certain duties for your entity as summarized below:
1. To accept, on behalf of the entity, any legal notices. (i.e. by serving the resident Agent, the law says your entity has been served).
2. The Resident Agent is then required to forward any legal notices to your entity.
3. The Resident Agent must keep certain information, as required by Nevada statues, varying with the type of entity.
4.
Compliance with Nevada state rules and regulations can be a problem for a busy business owner. Fees need to be paid to the state annually, on-time or your entity becomes temporarily invalid and you don’t want that to happen. Missing one of the state’s deadlines is also expensive (late fees, penalties and reinstatement fees, etc.) and so we BUILD IN A SOLUTION into our OWE LESS TAX system.
We contract with Nevada Corporate Services who have their computers programed to notify you that a compliance issue for your company is approaching. The State of Nevada won’t do this.
Nevada Corporate Services guarantees on-time submission of your company’s annual list of officers / managing member(s).
Within our OWE LESS TAX system package, we contract for the highest level of Resident Agent Service through Nevada Corporate Services, Inc., located in Las Vegas, Nevada, and provide it to our OWE LESS TAX clientèle for one year.
Don’t misunderstand; keeping the company compliant, current and active with the Secretary of State is crucial. The State recently instituted cost-cutting measures and they no longer spend money on postage. Missing the filing date triggers not only filing fees, but also, reinstatement fees and penalties, etc. Not doing will put the owners in jeopardy of losing the corporate liability shield and beneficial tax treatment.
